
Two cell therapy CDMOs are betting that together, they can do more than either could alone.
Kincell Bio and Cellipont Bioservices have completed their merger to form Kincellis Advanced Therapies, bringing together complementary cell therapy platforms, 140,000 square feet of manufacturing space and more than 250 employees across three U.S. sites.
The deal unites Kincell’s depth in immune-cell technologies — CAR-T, CAR-NK, TCR and Treg programs — with Cellipont's broader footprint across stem cell platforms, including iPSCs, dendritic cells, MSCs and exosomes.
“We see those capabilities as complementary rather than competing, and they allow us to support a much wider range of customer programs,” said Larry Pitcher, former Kincell CEO and incoming Kincellis president. “Together, we bring a combination of technical depth, breadth and scalable capacity that is highly differentiated in the advanced therapies CDMO market.”
With its 16 qualified GMP suites across three sites in Gainesville, Florida; Research Triangle Park, North Carolina; and The Woodlands, Texas, Kincellis will support autologous and allogeneic programs across that full range of modalities, plus take on an emerging capability initiated by Cellipont — mRNA-enabled approaches.
“We have a new vertical out of Cellipont that will give Kincellis the opportunity to rapidly expand mRNA,” said former Cellipont CEO and incoming Kincellis CEO Darren Head. “We're excited to have the capability to jump into the personalized vaccine side.”
The making of a super-team
According to Head, the deal originated roughly six months ago, when Cellipont's board decided to raise a secondary capital round to fund the company's own rapid growth.
That fundraising process, Head said, led Cellipont's board to Kincell, which was independently looking to scale. “We stumbled across the fact that Kincell was looking for an opportunity to grow as well,” he said. “We started talking, brought the boards together, and thought ‘this is a great fit — they're ramping at the same time we're starting to ramp.’”
The deal isn’t just about putting two companies under one roof. Head framed the combination as more than a consolidation, pointing out that the value of the combined organizations will be greater than the sum of their individual parts.
“You go into this as one-plus-one-equals-three,” he said, pointing to the combined company’s expanded workforce — now well over 250 employees — as well as technical bench strength on the Kincell side. “Putting these two teams together will make Kincellis a top-notch scientific organization and a real driver in the advanced therapies space,” said Head.
In addition to Head serving as CEO and Larry Pitcher stepping in as president, Kincellis will be led by Mark Bamforth, OBE as executive chair, supported by an experienced leadership team from both legacy organizations.
“This is fundamentally a growth story. Across all three sites, we expect to continue adding people as we expand with existing customers, bring new programs into the portfolio and prepare for later-stage and commercial manufacturing,” said Pitcher.
Preserving the boutique CDMO culture
In the cell and gene therapy space, CDMOs that offer specialized agility, personalized attention, and flexible infrastructure are highly coveted. The merger will bring together Cellipont's self-described “small company” culture and Kincell's flexibility-focused positioning.
“At Kincell, we talk about five points of differentiation: Quality First, Better Science, Reliable Supply, Right Scale and Personalized Service,” said Pitcher. “We see those same principles in Cellipont, and our goal is to preserve them as we build Kincellis — for the benefit of our customers, our employees and ultimately the patients we help serve.”
Kincellis is the fourth CDMO Head has led as CEO over roughly 20 years and he emphasizes that the throughline across these companies has been direct client access.
“A lot of CDMOs say, ‘we're going to be your partner,’ but you're talking to a director. When you talk to us, you're talking to the CEO,” he said, adding that he takes calls from clients — including some in Japan — “at all hours of the night.” “Culture needs to be about the patient,” he said. “When that leukopak comes through the back door, somebody is relying on you to save their life. If you set your business up about the patient, everything else falls into place.”
Client continuity and expansion plans
The merger comes at a pivotal time for many Kincell and Cellipont clients. Between the two legacy companies, Kincellis will have roughly 25 active programs, 10 of which are on track for 2026 IND filings.
Both Pitcher and Head were confident that current customers of both legacy companies should expect no disruption. “If anything, it's enhanced, because you're picking up more capability, more science, more manufacturing execution,” said Head.
The Cellipont-originated Woodlands, Texas site includes seven qualified clean rooms plus a larger ballroom suite built for more advanced therapies, and all three sites have room to add further capacity.
“The combination gives our customers greater technical resources, more capacity and the ability to create redundancy across sites as programs move toward commercial manufacturing,” said Pitcher. “This will reduce supply-chain risk while giving customers a partner capable of supporting them from development through commercial supply and from multiple geographic hubs.”
An opportunity for further growth
For Darren Head, the deal marks a departure from the pattern of his earlier CDMO roles, each of which was eventually acquired by a larger player before he could scale it independently.
“This is the first time that I'm allowed to actually start to scale it on my own,” he said, noting that his past companies topped out in the $50 million-to-$60 million range before being acquired, while Kincellis is targeting more than $150 million.
“That part makes me really excited — this gives me the opportunity to actually grow the business.”
