Karyopharm Therapeutics has filed for Chapter 11 bankruptcy protection as part of a restructuring agreement that provides for a planned merger with Ayrmid, the parent company of cell therapy developer Gamida Cell.

Under the agreement, Ayrmid will serve as the lead bidder in a court-supervised sale process for Karyopharm's assets. The process will allow other interested parties to submit competing proposals, subject to court approval of the bidding procedures. The proposed transaction is expected to close in the first quarter of 2027.

The proposed merger would bring together two companies with complementary hematology portfolios. Karyopharm's lead product, Xpovio, is an XPO1 inhibitor approved for adults with relapsed or refractory multiple myeloma.

Ayrmid, through its subsidiary Gamida Cell, has two FDA-approved products: Omisirge, an allogeneic hematopoietic progenitor cell therapy, and Aphexda, a CXCR4 antagonist used to mobilize hematopoietic stem cells in patients with multiple myeloma. Back in March 2025, Ayrmid made an unsolicited, non-binding offer to acquire bluebird bio, which had already agreed to a buyout by private equity firms Carlyle and SK Capital. The firms ultimately completed the acquisition.
